01 Acceptance of Terms

By accessing or using adequipmentllc.com (the "Site") or by purchasing equipment, vehicles, or aircraft from A & D Equipment LLC ("we," "us," or "our"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, do not use the Site or purchase from us.

These Terms apply to all visitors, users, and customers.

02 Our Services

A & D Equipment LLC sells construction and forestry equipment, vehicles (trucks and SUVs), and aircraft (single-engine, multi-engine, helicopters, and select commercial). We are an independent dealer based in Clancy, Montana, and we ship nationwide across the United States.

Every item we list is inspected in-house before being offered for sale.

03 Listings & Pricing

We make every effort to ensure that listings are accurate, including photos, specifications, hours, mileage, and condition descriptions. However:

• Prices, availability, and specifications are subject to change without notice
• Typographical errors, photo discrepancies, and specification errors may occur
• We reserve the right to correct any errors and to refuse or cancel orders placed based on inaccurate information
• Listings remain available until sold; first-come, first-served unless reserved

If a price or specification error is discovered after an order is placed, we will notify you and give you the option to confirm the corrected order or cancel for a full refund.

04 Purchase Process

To purchase an item:

• Contact us by phone, email, or through the listing page to confirm availability
• We will provide additional photos, videos, or details as requested
• A written purchase agreement will be issued before any payment is collected
• Payment instructions will be sent via secure communication
• Once payment is received and cleared, we coordinate inspection, paperwork, and delivery

No sale is final until both a written agreement is signed and payment is received.

05 Payment Terms

Bank-transfer payments ensure every transaction is documented and traceable. Wire instructions will be sent only by us, only through secure means, and only after a written purchase agreement is in place.

Beware of fraud

If you receive wire instructions that appear suspicious or come from an email address that does not end in @adequipmentllc.com, do not send funds. Call us at (406) 290-8327 to verify before any transfer.

No financing

We do not provide direct financing. We will work with your bank, credit union, or equipment financier and provide all documentation they require.

06 Shipping & Delivery

We arrange professional delivery to all 50 U.S. states. Shipping cost depends on the item, weight, and destination, and is quoted before purchase.

Risk of loss transfers to the buyer once the item is delivered to the destination address. We are not responsible for delays caused by weather, carrier issues, or events beyond our reasonable control. Delivery dates are estimates, not guarantees.

The buyer is responsible for ensuring delivery access at the destination (suitable equipment for unloading, road access, etc.) unless other arrangements are made in writing.

07 5-Day Inspection Period

If, within the 5-day window, the buyer identifies a material discrepancy between the item delivered and the item agreed to, the buyer must:

• Notify us in writing (email is acceptable) within the 5-day window
• Provide photographs, videos, or written description of the issue
• Refrain from operating, modifying, repairing, or transferring the item until the matter is resolved

Failure to notify us within 5 days waives the buyer's right to a refund or return under this provision. Routine wear, cosmetic differences disclosed in the listing, and items installed or modified by the buyer are not covered.

08 Warranty Terms

What's covered

Key mechanical components including engine, transmission, hydraulics (equipment), drivetrain, and primary operating systems, as detailed in the warranty document delivered with each purchase. Warranty service is provided through authorized service centers.

What's not covered

• Wear items: tires, filters, fluids, blades, teeth, brake pads, belts, hoses
• Cosmetic issues, paint, glass, upholstery
• Damage from misuse, abuse, accident, neglect, or operating outside the item's specifications
• Modifications, alterations, or installations made after purchase
• Routine maintenance and consumables
• Damage caused by failure to perform routine maintenance

How to make a warranty claim

Contact us first by phone or email with the issue, photos or video if relevant, and your purchase details. We will direct you to an authorized service center and coordinate the repair. Unauthorized repairs may void warranty coverage.

Aircraft warranties, where offered, are documented separately in writing for each transaction.

09 Refunds & Returns

Refunds are available only within the 5-day inspection period and only when the item materially fails to match the agreed condition. Refund amount and conditions are determined per the written purchase agreement.

Return shipping

If we materially misrepresented the item, we cover return transport. In all other cases, return shipping is the responsibility of the buyer. Return arrangements must be coordinated through us — items shipped back without prior coordination may be refused.

10 Titles & Documentation

Vehicles are sold with clean titles. Equipment is sold with bills of sale and any available service or ownership records. Aircraft are sold with full logbooks and required FAA documentation.

State registration, title transfer, sales tax (where applicable), and any other governmental requirements are the buyer's responsibility, handled through the buyer's home state authority.

11 Disclaimer of Warranties

EXCEPT FOR THE EXPRESS WRITTEN WARRANTIES PROVIDED IN THE PURCHASE AGREEMENT AND IN SECTION 08 ABOVE, ALL ITEMS ARE SOLD "AS IS" AND "WITH ALL FAULTS."

WE DISCLAIM ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

The website is provided "as is" without warranty of any kind. We do not guarantee uninterrupted or error-free operation of the website.

12 Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, A & D EQUIPMENT LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES — INCLUDING LOST PROFITS, LOST REVENUE, LOST USE, OR LOST DATA — ARISING OUT OF OR RELATED TO THESE TERMS, THE WEBSITE, OR ANY ITEM PURCHASED FROM US.

Our total cumulative liability arising from any claim shall not exceed the amount paid by the buyer for the specific item giving rise to the claim.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

13 Indemnification

You agree to indemnify, defend, and hold harmless A & D Equipment LLC, its members, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of:

• Your use of the website
• Your violation of these Terms
• Your operation, modification, or resale of any item purchased from us
• Your violation of any law or third-party right

14 Intellectual Property

All content on this website — including text, photos, graphics, logos, and design — is the property of A & D Equipment LLC or its licensors and is protected by copyright and other intellectual property laws.

You may view and print pages from the site for your personal, non-commercial use. You may not reproduce, distribute, modify, or create derivative works from any content without our prior written permission.

15 Prohibited Conduct

You agree not to:

• Use the website for any unlawful purpose or in any way that could damage, disable, or impair the site
• Submit false, misleading, or fraudulent information through any form on the site
• Attempt to gain unauthorized access to the site, our systems, or other users' accounts
• Scrape, copy, or collect data from the site by automated means without our permission
• Impersonate another person or misrepresent your affiliation with us

16 Governing Law

These Terms are governed by and interpreted under the laws of the State of Montana, without regard to conflict-of-law principles. Any dispute arising out of or related to these Terms or any purchase shall be resolved in the state or federal courts located in Lewis and Clark County, Montana, and you consent to the personal jurisdiction of those courts.

If any provision of these Terms is held unenforceable, the remainder of the Terms shall continue in full force and effect.

17 Changes to Terms

We may update these Terms from time to time. The "Last updated" date at the top of this page reflects the most recent revision. Continued use of the website or purchasing from us after changes are posted constitutes acceptance of the updated Terms.
